Partner Program Agreement

1.	Overview
Welcome to the Partner Program for iDeFi offered exclusively to potential partners who are hand selected by the Company. The objective of the Corporate Partner Program is to permit you to advertise and promote the subscriptions of iDeFi, LLC (“Company”) on your website, blog, social media, or any other form of electronic media marketing and to receive a commission for the subscription services purchased. As a Corporate Partner, you have been selected by the Company and are prequalified to represent our products and services.

2.	Definitions
“Partner” The business, individual, or entity applying to or participating in the Partner Program, or that displays product offerings of the Company on their social media or website, or other means, using an affiliate tracking code in exchange for a receiving a commission for sales directly resulting from such display or promotion. 
“Company” The Company is iDeFi, LLC which is a provider of financial education and services made available to individuals through a monthly paid subscription.
“Landing Pages” The Company will provide the Partner a series of Landing Pages for the Partner to use to promote the Company’s product subscriptions.
“Product Offering” The product offering are the subscription packages provided by the Company to the public. 
“Approved Marketing Materials” The company will provide approved marketing materials that include but are not limited to banners, posts, landing pages, promotions and other electronic forms of our product subscription services. 

3.	Independent Contractor Status
As a Partner you are an Independent Contractor and not an employee. All referral payments will be reported annually on form 1099-NEC using the information you supply to us on the W-9 form required with your application. You will receive your 1099 by January 31st of the next year representing your affiliate income for the prior year period.

4.	Partner Compensation
The Partner Compensation for the Company’s subscription services is defined in the Partner Program back office with live monitoring and reporting for all clicks and sales. As a Partner representative/referral partner of iDeFi your referral income is listed by product offering in the portal.

5.	Partner Disclosure
We require all partners to comply with applicable laws, regulations and guidelines concerning advertising and marketing, including and without limitations, The Federal Trade Commission. All partners must disclose that they receive compensation from partner links in line with FTC guidelines. No offensive language or pornographic images are permitted in the promotion of our products. No misleading or untruthful statements may be made about the subscription services. In addition, due to the nature of the subscription software services provided, no income claims may be made or represented by the partner to the public under any circumstance. All partners will fully conform to the Company’s policies and procedures regarding affiliate marketing practices.

6.	Partner Platform Reporting 
As a partner you will be provided a specialized referral link to use when promoting the Company’s subscription services. The new customer must sign up through your referral link for the partner payment to be valid.  

7.	Enrollment
To become an Partner of the Company, you must complete the on-line application form and provide identification information.
Once your full application has been submitted it will be reviewed within three business days for acceptance or denial. We reserve the right to deny any application for the partner program if we believe the partner representation does not meet the standards and requirements for the products we represent. As an example, we do not promote our products on pornographic websites.
As  a Partner you must adhere to all terms and conditions for each of our product campaigns. All advertising, posts, photos, websites, and representations must be submitted for approval prior to use.
We provide pre-approved marketing materials that you may use at any time. Should you create your own marketing materials, they must be submitted to the Company for pre-approval.

8.	Term
This agreement shall be effective on the date of approval as an Authorized Partner and will continue indefinitely as long as the Partner remains in compliance and good standing with the policies of the Company. 

9.	Termination. 
This Agreement may be cancelled at any time by the Company if the Partner is found to be in violation of the Partner program marketing procedures. The Company will provide notice of such violations and provide the Partner a period of no less that three days to cure the violation. If any violation is found to be unlawful by the Company, the termination will be immediate and permanent.

10.	Amendment; No Waiver.
We may update and change any part or all of this Agreement, including by replacing it in its entirety. If we update or change this Agreement, the updated Agreement will be made available to you via the Partner portal and/or by email. The updated Agreement will become effective and binding on the next business day after we or the Partner portal have notified you. When we change this Agreement, the "Last Modified" date above will be updated to reflect the date of the most recent version in your portal. We encourage you to review this Agreement periodically.  If you don’t agree to the update, change or replacement, you can choose to terminate as we describe above. No delay in exercising any right or remedy or failure to object will be a waiver of such right or remedy or any other right or remedy. A waiver on one occasion will not be a waiver of any right or remedy on any future occasion.

11.	Warranties and Representations
You hereby represent and warrant to us as follows:
	You have reviewed and understand this Agreement and agree to be bound by its terms.
	You have completed your Partner Program Application truthfully.
	You are not in violation of any other partner program or contract by entering this agreement.
	You have supplied the necessary identification and W-9 form with your application.

12.	Indemnification
You will indemnify, defend and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an "Action") brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party not affiliated with us to the extent that such Action is based upon or arises out of (a) your participation in the Partner Program, (b) our use of the prospect data you provided us, (c) your noncompliance with or breach of this Agreement, (d) your use of the Partner Portal, or (e) our use of the company marketing and branding elements. We will: notify you in writing within thirty (30) days of our becoming aware of any such claim; give you sole control of the defense or settlement of such a claim; and provide you (at your expense) with any and all information and assistance reasonably requested by you to handle the defense or settlement of the claim. You shall not accept any settlement that (i) imposes an obligation on us; (ii) requires us to make an admission; or (iii) imposes liability not covered by these indemnifications or places restrictions on us without our prior written consent.

13.	Disclaimers; Limitations of Liability
Disclaimer of Warranties. WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY OR ACCURACY OF THE PRODUCTS, THE PARNTER PROGRAM OR THE PARTNER PORTAL FOR ANY PURPOSE. APPLICATION PROGRAMMING INTERFACES (APIs) AND PARTNER PORTAL MAY NOT BE AVAILABLE AT ALL TIMES. TO THE EXTENT PERMITTED BY LAW, THE PRODUCTS AND PARTNER PORTAL ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO THE PRODUCTS AND THE PARTNER PORTAL INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
No Indirect Damages. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES.
Limitation of Liability. IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO THE TOTAL COMMISSION AMOUNTS YOU HAVE ACTUALLY EARNED FOR THE RELATED CUSTOMER TRANSACTIONS IN THE TWELVE-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO A CLAIM.

14.	Applicable Law
This Agreement shall be governed by the laws of the Commonwealth of Wyoming, without regard to the conflict of laws provisions thereof. In the event either of us initiates an action in connection with this Agreement or any other dispute between the parties, the exclusive venue and jurisdiction of such action shall be in the state and federal courts in Teton County, Wyoming.

15.	Force Majeure
Neither party will be responsible for failure or delay of performance if caused by: an act of war, hostility, or sabotage; act of God; electrical, internet, or telecommunication outage that is not caused by the obligated party; government restrictions; or other event outside the reasonable control of the obligated party. Each party will use reasonable efforts to mitigate the effect of a force majeure event.

16.	Actions Permitted
Except for actions for nonpayment or breach of a party’s proprietary rights, no action, regardless of form, arising out of or relating to this Agreement may be brought by either party more than one (1) year after the cause of action has accrued.

17.	Relationship of the Parties
Both you and we agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement.

18.	Compliance with Applicable Laws
You shall comply and shall ensure that any third parties performing sales or referral activities on your behalf comply, with all applicable foreign and domestic laws (including without limitation export laws and laws applicable to sending of unsolicited email), governmental regulations, ordinances, and judicial administrative orders. You shall not engage in any deceptive, misleading, illegal, or unethical marketing activities, or activities that otherwise may be detrimental to us, our customers, or to the public. Export laws and regulations of the United States and any other relevant local export laws and regulations may apply to the products. You will comply with the sanctions programs administered by the Office of Foreign Assets Control (OFAC) of the US Department of the Treasury.  You will not directly or indirectly export, re-export, or transfer the Products to prohibited countries or individuals or permit use of the Products by prohibited countries or individuals.

19.	Severability
If any part of this Agreement is determined to be invalid or unenforceable by applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement will continue in effect.

20.	Entire Agreement
This Agreement is the entire agreement between us for the Partner Program and supersedes all other proposals and agreements, whether electronic, oral or written, between us. We object to and reject any additional or different terms proposed by you, including those contained in your purchase order, acceptance or website.

21.	Assignment
You will not assign or transfer this Agreement, including any assignment or transfer by reason of merger, reorganization, sale of all or substantially all of its assets, change of control or operation of law, without our prior written consent. We may assign this Agreement to any partner or in the event of merger, reorganization, sale of all or substantially all of our assets, change of control or operation of law.

22.	Authority
Each party represents and warrants to the other that it has full power and authority to enter into this Agreement and that it is binding upon such party and enforceable in accordance with its terms.

Privacy Policy

As a Partner of iDeFi, LLC, you must accept and adhere to the following Privacy Policy as it relates to our customers.

We respect our customers and their privacy. The purpose of this privacy policy is to let you know what kind of information we collect, how we use it, with whom it may be shared, what choices you have regarding our use of your information, and how you may review and change some of the data you provide to us.

This Privacy Policy describes the data collection, use, sharing and protection practices for iDeFi, LLC (referred to herein as the “Company”, “our”, “us” or “we”) or through our websites: myidefi.com and idefi.pro. These sites are operated by the Company and are hosted on the server of the Company and its third-party technology providers.

The information you submit on the site is sent to and accessed by the Company, as well as the Affiliate (referred to herein as “Affiliate”) to whom this Site is assigned (except as set forth in this privacy policy). By visiting this Site and providing information to the Company you consent to the following privacy policy, use and disclosure of information.

Information Collected

The Company is the sole owner of the information collected on our websites and landing pages that we provide to our Affiliates (hereafter the “websites”). We collect information from customers and visitors to the websites.

Personal Information

Through your use of or visits to our websites, you may be required or requested to provide personally identifiable information to us. Personal information is any piece of information that can potentially be used to uniquely identify, contact, or locate a single person including names, addresses, email addresses, telephone numbers, and credit card or banking information. We adhere to General Data Protection Regulation (GDPR), a regulation implemented by the European Union designed to protect the rights of the person, their information and how their information is used. This regulation is effective as of May 25th, 2018, and is incorporated within this policy.

GDPR expands the definition of personal information to include all the following:

 	a name and surname
 	a home address
 	an email address such as name.surname@company.com
 	an identification card number
 	location data (for example the location data function of a mobile phone)
 	an Internet Protocol (IP) address
 	a cookie ID
 	the advertising identifier

Customer Information

Customers are required to provide contact information (such as name, mailing address, telephone number(s), and email address). Customers are also required to provide payment information (such as credit card, debit card, or checking account information). We use this information to maintain contact with customers, to process customer orders, and for billing purposes. All payment information is stored by our merchant gateway, encrypted and not available to our employees or the company for access. Only partial payment identifiers are available to demonstrate and verify a customer’s purchase. If you contact us and ask us to tell you the payment information you have on file, we are not able to do so other than to provide you with a partial payment identifier. We cannot update your credit card or payment information for you. Only you can enter this information which is encrypted and managed by PCI compliant merchants.

Profile Information

The Company gathers and stores some information that it collects through cookies, log files, clear gifs, and/or third parties. Such information is not used to provide offers or create a profile of visitors to our websites (“users”) which include visitors and customers. Profile information is not tied to a user’s personally identifiable information; however, such information is aggregated to provide offers and improve the content of the site for the user.

Payment Information

The Company may at its discretion share credit card response data for failed payments to third party companies to optimize the credit card payment processes. This credit card response data DOES NOT constitute financial credit card data such as credit card number, security codes and expiration date.

Personally Identifiable Information

The Company DOES NOT share personally identifiable information except with contracted service providers as may be necessary to: (a) process orders and/or returns and obtain payment; (b) complete an enrollment as a customer. We also provide personally identifiable information: (a) to Affiliate(s) as described herein; and/or (b) to the Affiliate on the Company’s Affiliate locator feature on the Company’s website; and/or (c) to assign a sales or enrollment lead to an active Affiliate.

Sales Information

If you make a purchase from an Affiliate through this Site, we will provide the Affiliate to whom this Site is assigned with your name, contact information, a description of the item(s) purchased, and the sales value associated with the purchase. No other personally identifiable information will be shared with the Affiliate. You may change the information at any time by accessing your account profile page.

Aggregated Information (Non-Personally Identifiable)

The Company may share aggregated demographic information with our partners, vendors, suppliers, third party providers, and advertisers. This is not linked to any personally identifiable information. Cumulatively this information cannot identify an individual person.

Communication From Us

Special Offers and Updates

The Company sends all Customers a welcoming email to verify password, username, and reference to terms and agreements signed for during the purchase process. All Customers will occasionally receive information on the Company business, products, services, promotional offers, and newsletters. We do not allow other companies or entities to contact our customers unless a customer requests or grants permission to the third-party provider.

Service Announcements

At times it is necessary to send out service-related announcements. For instance, if our service is temporarily suspended for maintenance we might send customers an email. Generally, customers may not opt-out of these communications, though they can deactivate their account. However, these communications are not promotional in nature.

Customer Support

The Company communicates with Customers via email, regular mail, support ticketing system and telephone on a regular basis to provide requested services and in regard to issues relating to their Company services. Such communications may be by email, regular mail, support ticketing system or telephone. The Company also communicates with customers by posting messages in the member site.

Miscellaneous

Legal Disclaimer

Though the Company makes every effort to preserve user privacy, the Company may need to disclose personal information when required by law wherein we have a good-faith belief that such action is necessary to comply with a current judicial proceeding, a law enforcement action, a subpoena, warrant, court order or legal process served on the Company.

Changes to the Privacy Policy

The Company reserves the right to amend or change this Privacy Policy at any time and at its sole discretion. When material changes or amendments are made to the Privacy Policy, we will announce the release and effective date of the amended Privacy Policy which is typically immediately upon release unless otherwise specified by the Company.

Choice

Users are notified when their information is being collected by any outside parties (except for IT providers, merchant services providers, federal regulators and Google Analytics). Typically, the Company does not share information with third parties but in the event it does so, all users will be notified in advance.

The Company’ websites may contain links to other sites. Please be aware that the Company is not responsible for the privacy practices of such other sites. We encourage users to be aware when they leave our site and to read the privacy statements of each and every website that collects personally identifiable information. This privacy statement applies solely to information collected by the Company websites.

CALIFORNIA ONLINE PRIVACY PROTECTION ACT COMPLIANCE

Because we value your privacy, we have taken the necessary precautions to fully comply with the California Online Privacy Protection Act. We therefore will not distribute your personal information to outside parties without your consent.

ONLINE PRIVACY PROTECTION ACT COMPLIANCE

We are in compliance with the requirements of COPPA (Children’s Online Privacy Protection Act), we do not knowingly collect any information from anyone under 13 years of age. Our website, products and services are all directed to people who are at least 18 years old or older.

Privacy Policy Applies to All Data Collected

This privacy policy applies to personal data regardless of the technology used for processing that data – it’s technology neutral and applies to both automated and manual processing. It also doesn’t matter how the data is stored – in an IT system, through video surveillance, or on paper; in all cases, personal data is protected as defined in this policy.

Your personal information is exclusively yours. If you choose to share information with us as a Customer or as an Affiliate, you grant us permission to collect your personal information. We will protect your information as defined in this policy. You maintain control over your information.

You have the right to:

 	obtain access to the personal data held about you
 	ask for incorrect, inaccurate or incomplete personal data to be corrected
 	request that personal data be erased when it’s no longer needed or if processing it is unlawful
 	object to the processing of your personal data for marketing purposes or on grounds relating to your particular situation
 	request the restriction of the processing of your personal data in specific case
 	receive your personal data in a machine-readable format and send it to another controller (‘data portability’)
 	request that decisions based on automated processing concerning you or significantly affecting you and based on your personal data are made by natural persons, not only by computers.
